6Confidentiality, Handling, and Return/Destruction

Unless explicitly labeled “Public,” Commercial Documents are deemed confidential and proprietary to ValiCor US™. Recipients agree to hold such materials in strict confidence, to refrain from disclosing them to any third party without prior written consent, to use them solely for evaluating a potential business relationship with ValiCor US™, and to return or securely destroy them and any copies upon request. If a separate non-disclosure agreement (NDA) exists, its terms will govern and supersede this Section in case of conflict.

7Intellectual Property Ownership and No License

All intellectual property rights in Commercial Documents, including copyrights, trademarks (including ValiCor US™ and H.E.A.T.™), patents, trade secrets, methodologies, models, datasets, and designs, are and shall remain the property of ValiCor US™ or its licensors. No license or rights are granted by implication, estoppel, or otherwise by the provision of Commercial Documents. Recipients shall not copy, distribute, adapt, publish, train models on, or create derivative works from Commercial Documents without express written permission.

8Compliance: Anti-Bribery, Sanctions, Export Controls, Competition, and Procurement

Commercial Documents are not intended to, and shall not, induce any unlawful act or improper payment in violation of anti-bribery or anti-corruption laws, including the U.S. Foreign Corrupt Practices Act (FCPA) and the UK Bribery Act. Recipients are responsible for ensuring that their review or use of Commercial Documents does not violate sanctions, export control laws (including EAR and ITAR), antitrust or competition laws, public procurement rules, or any conflict-of-interest obligations. ValiCor US™ reserves the right to withhold materials from or terminate discussions with parties who present compliance risks.

ValiCor US™ endeavors to make Commercial Documents accessible to people with disabilities in accordance with WCAG 2.2 AA, Section 508, EN 301 549, AODA, and equivalent standards. 10Privacy and Data Minimization in Commercial Materials

Commercial Documents are not intended to include personal data. If personal data is incidentally captured (for example, in a screenshot or testimonial), such inclusion is minimized, consented where required, and handled in accordance with our Privacy Policy and applicable data protection laws. Recipients shall not extract, use, or process any personal data contained in Commercial Documents for purposes beyond the evaluation of a relationship with ValiCor US™.

11Sensitive Sectors and Minors

Commercial Documents are not directed to minors. Commercial materials that touch on healthcare, education, employment, credit, housing, public safety, or other high-impact sectors are illustrative and do not authorize the use of H.E.A.T.™ in such contexts without appropriate approvals, ethical oversight, legal basis, and compliance with sector-specific regulations.

12No Legal, Medical, or Professional Advice

Commercial Documents do not provide legal, medical, psychological, regulatory, or other professional advice. Any decisions made in reliance on Commercial Documents are made at the recipient’s sole risk, and the recipient agrees to seek independent advice as appropriate.

13No Warranties; Assumption of Risk

Commercial Documents are provided “as is” and “as available,” without warranties of any kind, and ValiCor US™ expressly disclaims all express, implied, and statutory warranties, including but not limited to those of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, or suitability. Recipients assume all risk arising from their reliance on or use of Commercial Documents.

14Limitation of Liability

To the maximum extent permitted by law, ValiCor US™ shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or opportunities arising out of or relating to Commercial Documents. In any event, ValiCor US™’s aggregate liability shall be limited to one hundred U.S. dollars (US$100) unless otherwise expressly agreed in a signed contract.

15Conflicts with Signed Agreements; Order of Precedence

If a recipient executes a binding agreement with ValiCor US™, such agreement shall govern the parties’ rights and obligations and shall supersede Commercial Documents. In the absence of a specific agreement, Commercial Documents confer no rights and create no obligations.

16Governing Law; Venue; Dispute Resolution

This Commercial Disclaimer shall be governed by and construed under the laws of the District of Columbia, United States of America, without regard to conflict-of-law rules. Disputes arising out of or relating to the Commercial Documents shall be resolved pursuant to the dispute resolution

provisions of the Terms of Service, including arbitration if applicable, and otherwise in the United States District Court for the District of Columbia or the Superior Court of the District of Columbia.

17Force Majeure

ValiCor US™ shall have no liability for any delay or failure to provide, update, or maintain Commercial Documents due to events beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, pandemics, governmental actions, infrastructure failures, or other force majeure events.

20Severability; Non-Waiver

If any provision of this Commercial Disclaimer is held to be invalid or unenforceable, the remainder shall continue in full force. No failure or delay by ValiCor US™ to exercise any right shall operate as a waiver of such right.

Appendix A: Risk Factors for Forward-Looking Statements

Forward-looking statements are subject to risks including changes in customer demand, funding cycles, regulatory approvals, ethical scrutiny, data availability, cybersecurity incidents, supply chain conditions, competitive dynamics, and macroeconomic factors. This list is illustrative and non-exhaustive.

Appendix B: Export and Sanctions Compliance

Recipients agree not to export, re-export, transfer, or disclose any controlled technical information or technology described in Commercial Documents in violation of U.S., EU, UK, Canadian, or UN trade controls, and agree not to provide such materials to parties in embargoed destinations or to denied/restricted parties.

Appendix C: Definitions

“Commercial Documents” means any ValiCor US™ non-contractual commercial or promotional content. “Forward-looking statements” means statements about future events or performance that are not strictly historical. Capitalized terms not defined herein have the meanings given in our Terms of Service.
